These Terms of Service (the "Terms") form a binding agreement between SiteCraft Digital Ltd., a company registered in England and Wales, trading as "Kyur" ("Kyur", "we", "us", or "our"), and the individual or entity ("you", "Client") that accesses our website, books a consultation, or purchases any service from us (collectively, the "Services").
By using the Services you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Services.
Kyur is an operating brand of SiteCraft Digital Ltd. References in these Terms to "Kyur" are references to SiteCraft Digital Ltd. You can contact us at hello@kyur.tech.
We provide consulting, design, software development, AI integration, and automation services. The specific deliverables, scope, timeline, and fees for each engagement will be set out in a separate written proposal, statement of work, order form or invoice (each an "Order"). Each Order is incorporated into and governed by these Terms.
Information on our website is provided for general information only and does not constitute an offer. No contract is formed until we accept an Order in writing.
Fees are stated in the applicable Order and are exclusive of VAT and other taxes unless stated otherwise. Unless agreed in writing, invoices are payable in advance or on the schedule set out in the Order. Payments are processed by our third-party payment provider Paddle.com Market Ltd, which acts as merchant of record for certain transactions. Paddle handles billing, tax collection, and remittance.
Late payments may incur interest at the rate set under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend the Services for non-payment after reasonable notice.
Refund eligibility is governed by our Refund Policy, which forms part of these Terms.
You retain ownership of all materials you supply to us. Subject to full payment, we grant you a perpetual, non-exclusive licence to use the final deliverables produced specifically for you under an Order, for your internal business purposes. We retain ownership of all pre-existing materials, frameworks, tools, know-how, and any general-purpose code, templates or AI prompts used to deliver the Services.
Each party agrees to keep the other party's non-public information confidential and to use it only for the purpose of performing or receiving the Services. This obligation survives termination.
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
We will provide the Services with reasonable skill and care. To the maximum extent permitted by law, all other warranties, conditions and representations (express or implied) are excluded. The Services and any deliverables are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error free, or that AI-generated outputs will be accurate or fit for a particular purpose; you are responsible for reviewing all outputs before relying on them.
Nothing in these Terms limits any liability that cannot legally be limited, including liability for death or personal injury caused by negligence or for fraud.
Subject to the above, our total aggregate liability arising out of or in connection with an Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total fees paid by you to us under that Order in the twelve (12) months preceding the event giving rise to the claim.
We will not be liable for any indirect, special or consequential loss, or for loss of profit, revenue, business, anticipated savings, goodwill or data.
Either party may terminate an Order for material breach if the other party fails to remedy the breach within 14 days of written notice. On termination, you must pay for all Services performed up to the termination date.
We may update these Terms from time to time. The current version will always be available on our website with an updated "Last updated" date. Material changes will be notified to active clients by email.
These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may bring proceedings to enforce payment in any competent jurisdiction.
